Sancionada Lei Anticorrupção
Foi publicada no Diário Oficial da União de hoje, 2/8, a Lei 12.846/2013, que responsabiliza de forma administrativa e civil as pessoas jurídicas por crimes contra a administração pública, nacional ou estrangeira.
A Lei prevê, entre outros, como crimes contra a administração publica:
– prometer, oferecer ou dar, direta ou indiretamente, vantagem indevida a agente público, ou a terceira pessoa a ele relacionada;
– comprovadamente, utilizar-se de interposta pessoa física ou jurídica para ocultar ou dissimular seus reais interesses ou a identidade dos beneficiários dos atos praticados;
– frustrar ou fraudar, mediante ajuste, combinação ou qualquer outro expediente, o caráter competitivo de procedimento licitatório público;
– impedir, perturbar ou fraudar a realização de qualquer ato de procedimento licitatório público;
– afastar ou procurar afastar licitante, por meio de fraude ou oferecimento de vantagem de qualquer tipo;
– fraudar licitação pública ou contrato dela decorrente;
– criar, de modo fraudulento ou irregular, pessoa jurídica para participar de licitação pública ou celebrar contrato administrativo.
Na esfera administrativa será aplicada às pessoas jurídicas consideradas responsáveis pelos crimes, multa no valor de 0,1% a 20% do faturamento bruto. Caso não seja possível utilizar o critério do valor do faturamento bruto da pessoa jurídica, a multa será de R$ 6.000,00 a R$ 60.000.000,00.
Serão levados em consideração na aplicação das punições, entre outros: a vantagem auferida ou pretendida pelo infrator; a consumação ou não da infração; o efeito negativo produzido pela infração; a situação econômica do infrator; a existência de mecanismos e procedimentos internos de integridade, auditoria e incentivo à denúncia de irregularidades e a aplicação efetiva de códigos de ética e de conduta no âmbito da pessoa jurídica.
Na esfera judicial a Lei prevê a possibilidade de perdimento dos bens, direitos ou valores, suspensão ou interdição parcial das atividades, dissolução compulsória da pessoa jurídica e proibição de receber incentivos, subsídios, subvenções, doações ou empréstimos de órgãos ou entidades públicas.
A dissolução compulsória da pessoa jurídica será determinada quando comprovado ter sido a personalidade jurídica utilizada de forma habitual para facilitar ou promover a prática de atos ilícitos ou ter sido constituída para ocultar ou dissimular interesses ilícitos ou a identidade dos beneficiários dos atos praticados
